By accessing, browsing, registering for, or using any services provided by Balkon Hosting LLC ("Balkon Hosting," "Company," "we," "us," or "our"), including but not limited to hosting services, web building tools (Balkon Studio), compute infrastructure, and any related services (collectively, the "Services"), you ("User," "Customer," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any supplemental terms, policies, or guidelines referenced herein. If you do not agree to these Terms in their entirety, you must immediately cease all use of the Services.
Your use of the Services constitutes a binding legal agreement between you and Balkon Hosting LLC. You represent and warrant that you are at least 18 years of age and have the legal authority to enter into this agreement. If you are entering into these Terms on behalf of a business entity, you represent that you have authority to bind that entity.
Balkon Hosting reserves the absolute right to modify, amend, supplement, or replace these Terms at any time, in its sole discretion, with or without prior notice. Any modifications shall become effective immediately upon posting to our website. Your continued use of the Services following the posting of modified Terms constitutes your binding acceptance of such modifications. It is your sole responsibility to review these Terms periodically. We may, but are not obligated to, notify you of material changes via email or in-app notification.
Balkon Hosting provides web hosting, cloud compute infrastructure, AI-powered web building tools (Balkon Studio), and related technology services. The specific features, capabilities, and limitations of each service tier are described on our website and may change at any time without notice.
All Services are provided on an "as available" basis. We do not guarantee any specific uptime percentage, response time, or level of availability unless expressly stated in a separately executed Service Level Agreement ("SLA"). We reserve the right to modify, suspend, discontinue, or limit any or all Services, temporarily or permanently, at any time, for any reason, with or without notice, and without liability to you.
Certain Services may be designated as beta, preview, or experimental. Such Services are provided "as-is" without any warranty whatsoever, and Balkon Hosting may discontinue them at any time without notice or liability.
To access certain Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are solely responsible for maintaining the confidentiality of your account credentials, including your password.
You are fully responsible for all activity that occurs under your account, whether or not authorized by you. You agree to immediately notify Balkon Hosting of any unauthorized use of your account or any other breach of security. Balkon Hosting shall not be liable for any loss or damage arising from your failure to protect your account credentials.
We reserve the right to suspend, disable, or terminate your account at any time, for any reason or no reason, in our sole and absolute discretion, with or without notice. Upon termination, your right to use the Services ceases immediately. We are not obligated to provide any data export, backup, or migration assistance upon termination.
You agree not to use the Services to:
We reserve the right, but have no obligation, to monitor your use of the Services. We may investigate any suspected violation of these Terms and take any action we deem appropriate, including but not limited to: issuing warnings, suspending or terminating your account, removing content, reporting activity to law enforcement, and pursuing legal remedies. We may take such action without prior notice to you.
Balkon Hosting may impose resource limits (CPU, memory, bandwidth, storage, etc.) on any account at any time. Exceeding such limits may result in throttling, suspension, additional charges, or termination, at our sole discretion.
You agree to pay all fees associated with the Services you select. All fees are stated in U.S. dollars unless otherwise specified. Prices are subject to change at any time with 30 days' notice. Continued use of Services after a price change constitutes acceptance of the new pricing.
Payment is due in advance of the service period. We accept the payment methods listed on our website. You authorize us to charge your designated payment method on a recurring basis for subscription services. Failed payments may result in immediate service suspension.
All payments are final and non-refundable. We do not provide refunds, credits, or pro-rata adjustments for any reason, including but not limited to: early termination, service dissatisfaction, service interruptions, unused portions of a billing period, or account suspension or termination for Terms violations. Exceptions may be granted solely at Balkon Hosting's discretion and do not create any precedent or obligation.
Past-due balances accrue interest at a rate of 1.5% per month (or the maximum rate permitted by Illinois law, whichever is lower). You agree to pay all costs of collection, including reasonable attorneys' fees, if we must pursue collection of unpaid amounts.
All fees are exclusive of applicable taxes. You are responsible for all sales, use, value-added, withholding, and other taxes imposed by any governmental authority, excluding taxes based on Balkon Hosting's net income.
All content, software, trademarks, trade names, logos, designs, user interfaces, and other materials associated with the Services ("Company IP") are the exclusive property of Balkon Hosting or its licensors. Nothing in these Terms grants you any right, title, or interest in Company IP except the limited license to use the Services as expressly permitted herein.
You retain ownership of content you upload, create, or transmit through the Services ("User Content"). However, by using the Services, you grant Balkon Hosting a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, transferable license to use, reproduce, modify, adapt, publish, display, distribute, and create derivative works from your User Content for any purpose related to operating, improving, or marketing the Services. This license survives termination of your account.
Content generated using Balkon Studio (our AI-powered website builder) belongs to you, subject to the following conditions: (a) Balkon Hosting retains the right to use anonymized, aggregated data derived from your use of the tool; (b) you are solely responsible for ensuring that generated content does not infringe third-party rights; and (c) Balkon Hosting makes no representation or warranty regarding the originality, accuracy, or legal compliance of AI-generated content.
Any feedback, suggestions, ideas, or recommendations you provide to Balkon Hosting ("Feedback") become our exclusive property. You irrevocably assign all rights in such Feedback to Balkon Hosting, and we may use Feedback for any purpose without compensation or attribution.
You are solely responsible for your data, including maintaining adequate backups. Balkon Hosting is not responsible for any loss, corruption, or destruction of your data, regardless of cause. While we may implement backup procedures, we make no guarantee that data can or will be recovered.
Upon account termination (whether by you or by us), we may immediately delete all data associated with your account. We have no obligation to retain, export, or provide access to your data following termination. We recommend you maintain independent backups at all times.
We reserve the right to remove, disable, or restrict access to any content hosted on our platform at any time, for any reason, without prior notice, including content we believe in good faith violates these Terms, applicable law, or the rights of any third party.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. BALKON HOSTING EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT ANY DEFECTS WILL BE CORRECTED OR THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BALKON HOSTING, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL BALKON HOSTING'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE LESSER OF: (A) THE TOTAL FEES YOU PAID TO BALKON HOSTING IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND TO THE FULLEST EXTENT PERMITTED BY LAW. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH CASES, LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
You agree to indemnify, defend, and hold harmless Balkon Hosting, its officers, directors, members, employees, agents, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and costs) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; (e) your infringement of any intellectual property or other right of any third party; or (f) any dispute between you and any third party. Balkon Hosting reserves the right, at your expense, to assume exclusive defense and control of any matter subject to indemnification by you.
YOU AND BALKON HOSTING AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED EXCLUSIVELY THROUGH BINDING ARBITRATION, RATHER THAN IN COURT. Arbitration shall be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Cook County, Illinois.
YOU AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING SHALL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS. YOU WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS-WIDE ARBITRATION, OR ANY OTHER REPRESENTATIVE PROCEEDING. The arbitrator shall have no authority to consolidate claims or preside over any form of representative or class proceeding.
Notwithstanding the above, either party may bring individual claims in small claims court in Cook County, Illinois, if the claims qualify.
Nothing in this section shall prevent Balkon Hosting from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, confidential information, or to prevent irreparable harm.
Any claim or cause of action arising out of or relating to these Terms or the Services must be filed within one (1) year after the claim arose, or it is permanently barred. This limitation applies regardless of any statute or law to the contrary.
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict-of-law provisions. To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Cook County, Illinois.
Balkon Hosting shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, government actions, power failures, internet disruptions, hardware failures, software failures, DDoS attacks, cyberattacks, labor disputes, supply chain disruptions, or any other event beyond our reasonable control.
The Services may contain links to or integrations with third-party services, websites, or tools. Balkon Hosting is not responsible for any third-party services and makes no warranties regarding them. Your use of third-party services is governed by their respective terms and policies. Balkon Hosting disclaims all liability arising from your use of third-party services.
If you believe content hosted on our platform infringes your copyright, please submit a notice to our designated DMCA agent at: legal@balkonhosting.com. Your notice must comply with the requirements of 17 U.S.C. § 512(c)(3).
If you believe content was removed in error, you may submit a counter-notification as provided under 17 U.S.C. § 512(g).
We reserve the right to terminate accounts of repeat infringers in our sole discretion.
You agree to comply with all applicable U.S. export control laws and regulations. You shall not use, export, or re-export the Services in violation of such laws, including to any country, entity, or individual subject to U.S. sanctions.
You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. Balkon Hosting may freely assign or transfer these Terms, in whole or in part, without restriction or notice.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
These Terms, together with the Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Balkon Hosting with respect to the Services and supersede all prior or contemporaneous agreements, negotiations, representations, and proposals, whether written or oral.
No waiver of any provision of these Terms shall be effective unless in writing and signed by Balkon Hosting. No failure or delay by Balkon Hosting in exercising any right or remedy shall operate as a waiver thereof, nor shall any single or partial exercise of any right or remedy preclude further exercise of that or any other right or remedy.
All notices to Balkon Hosting must be sent to: legal@balkonhosting.com. Notices to you may be sent to the email address associated with your account. Notice shall be deemed given upon sending.
The following sections survive termination of these Terms: Sections 6 (Payment), 7 (Intellectual Property), 8 (Data), 9 (Limitation of Liability), 10 (Indemnification), 11 (Dispute Resolution), 12 (Governing Law), and any other provisions that by their nature should survive.
